Item 2.02 Results of Operations and Financial Condition.

On August 17, 2010, American Oil & Gas Inc. issued a press release announcing financial results for its second quarter ended June 30, 2010.

Item 7.01. Regulation FD Disclosure.

On August 17, 2010, the Company issued a press release entitled “American Oil & Gas Reports 2nd Quarter 2010 Financial Results and Provides Operations Update” with the subtitle of “Bergstrom 15-23H Well at Goliath Produces 3,049 BOE During An Early 24 Hour Flow Back Period.” The press release is attached as Exhibit 99.1 hereto.
