Item 2.02 Results of Operations and Financial Condition.

As previously announced, Nuveen Investments will host a conference call to discuss its third quarter 2010 results on Thursday, November 11, 2010 at 10:00 am central time. The following schedules summarize the Company’s results and are intended to accompany the conference call. Table 1 details sales, net flows, and assets under management for the first three quarters of 2010 and all quarters in 2009. Table 2 reconciles Adjusted EBITDA as defined by our Bank Credit Agreement to income before taxes for Q3 2010, Q3 2009 and the last twelve month period, which includes the last quarter of 2009 and the first three quarters of 2010.
