Item 1.01 Entry into a Material Definitive Agreement.

On November 19, 2010, Cardiac Science Corporation (the “Company”) entered into Amendment No. 2 to the Agreement and Plan of Merger, dated as of November 19, 2010, with Opto Circuits (India) Ltd. and Jolt Acquisition Company (“Amendment No. 2”). Amendment No. 2 changes the number of shares of common stock of the surviving corporation into which each share of common stock of Jolt Acquisition Company converts upon the effective time that Jolt Acquisition Company is merged with and into the Company, and amends and restates certain exhibits to the Agreement and Plan of Merger to conform with such change. A copy of Amendment No. 2 is attached as Exhibit 2.1 to this Current Report on Form 8-K.
