Item 8.01. Other Events.

On January 31, 2006, Ensource Energy Income Fund LP issued a press release announcing the extension until 5:00 p.m. New York City time on February 28, 2006 of its offer to exchange for each depositary units of Eastern American Natural Gas Trust (NYSE: NGT) accepted for exchange one whole common unit representing limited partner interests of the partnership and a pro rata portion of a special cash distribution of $5.9 million. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference into this Item 8.01.
