Item 8.01 Other Events.

On August 28, 2006, Ensource Energy Income Fund LP issued a press release announcing the extension until 5:00 p.m. New York City time on September 15, 2006 of its offer to: (i) pay $31.00 in cash, without interest, for up to 2,9501,000 of the outstanding Eastern American Natural Gas Trust (NYSE:NGT) depositary units and (ii) exchange one whole common unit of Ensource along with a a pro-rata share of a $5.9 million special cash distribution to be paid by Ensource to holders of NGT depositary units accepted by Ensource for exchange in this offer. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference into this Item 8.01.
