Item 1.01 Entry into a Material Definitive Agreement.

On May 8, 2007, Standard Aero Holdings, Inc. (the “Company”), caused its subsidiary, Standard Aero, Inc. (“Standard Aero”) to enter into a Purchase Agreement pursuant to which Standard Aero agreed to purchase all the issued and outstanding capital stock of TSS Aviation, Inc. (“TSS”) from its parent company, TSS Holdings, Inc. for approximately $65 million. The consummation of the acquisition is conditioned upon certain customary conditions as well as termination of the waiting period under the Hart Scott Rodino Act. The acquisition will be financed through additional borrowings under the Company’s senior secured term loan credit facility and is expected to close during the second calendar quarter of 2007.
