Item 2.01 COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS.

On July 2, 2007, Standard Aero Holdings, Inc. (the “Company”) completed its acquisition of TSS Aviation, Inc. (“TSS”) for approximately $65 million. TSS is based in Cincinnati, Ohio and provides full service component overhaul for mid- to large-engine repairs for original equipment manufacturers and airlines. The aggregate cost of the acquisition to the Company including related fees and expenses was approximately $67 million.

Item 2.03 CREATION OF A DIRECT FINANCIAL OBLIGATION.

The Company funded the acquisition of TSS through $65.0 million of additional borrowings under the Company’s existing senior credit facility and approximately $2.0 million of cash on hand. A description of the senior credit facility is included in Item 2, “Management’s Discussion and Analysis of Financial Condition and Results of Operations” of the Company’s quarterly report on Form 10-Q for the three months ended March 31, 2007 under the caption “Liquidity and Capital Resources — Senior credit facilities,” which description is incorporated herein by reference.
