Item 5.02.		DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On December 28, 2005, Lowrance Electronics, Inc. (the “Company”) appointed Paul C. Murphy as its new Vice President of Finance and Chief Financial Officer (Principal Financial Officer and Principal Accounting Officer). Mr. Murphy succeeds Douglas Townsdin, who left the Company to accept a partnership position with the Tulsa office of Grant Thornton LLP.

A copy of the Company’s press release announcing Mr. Murphy’s appointment is attached as Exhibit 99.1 and is incorporated by reference as additional disclosure under this Item.
