Item 8.01 Other Events.

Lancer Corporation issued a press release on January 31, 2006, announcing that the stockholders of Lancer Corporation voted to adopt the Agreement and Plan of Merger, dated October 18, 2005, by and between Lancer Corporation and Hoshizaki America, Inc., at a special meeting of stockholders held on January 31, 2006. A copy of the press release is attached hereto as Exhibit 99.1.
