Item 8.01 Other Events.

On April 28, 2009, AMB Property, L.P. commenced a cash tender offer to purchase any and all of its outstanding 8.00% Notes due 2010 and any and all of its outstanding 5.45% Notes due 2010. The tender offer is being made pursuant to an Offer to Purchase dated April 28, 2009 and a related Letter of Transmittal, which together more fully set forth the terms and conditions of the tender offer.

The tender offer will expire at 5:00 p.m., New York City time, on May 5, 2009, unless extended or earlier terminated.

A copy of the press release of AMB Property, L.P.’s general partner, AMB Property Corporation, is attached hereto as Exhibit 99.1 and incorporated into this current report by reference.
