Item 2.02 Results of Operations and Financial Condition.

On May 4, 2006, Color Kinetics Incorporated (the “Registrant”) issued a press release announcing its financial results for its first quarter ended March 31, 2006. The full text of the press release is attached hereto as Exhibit 99.1 to this Report and is incorporated by reference herein.
