Item 8.01 Other Events.

On August 14, 2006, Marsh Supermarkets, Inc. (the “Company”) issued a press release announcing that its Board of Directors has reaffirmed its support for the acquisition of the Company by MSH Supermarkets Holding Corp. (“MSH Supermarkets”), an affiliate of Sun Capital Partners, Inc., and that the Company has called and will hold a special meeting of its shareholders to vote on the approval of the proposed transaction with MSH Supermarkets on September 22, 2006.

The press release also noted that the Company had been advised by MSH Supermarkets that (i) MSH Supermarkets and Cardinal Paragon, Inc. and Drawbridge Special Opportunities Advisors LLC (“Cardinal/Drawbridge”) had signed a letter of intent under which Cardinal/Drawbridge would have the opportunity for a period of 45 days to provide MSH Supermarkets with sale/leaseback financing, and (ii) Cardinal/Drawbridge had withdrawn its indication of interest to acquire the Company.
