Item 1.01 Entry into a Material Definitive Agreement.

On May 31, 2007, we modified our existing bank credit facility by entering into a Sixth Amendment to Loan and Security Agreement (the “Sixth Amendment”) with Comerica Bank, successor by merger to Comerica Bank—California. The Sixth Amendment extends the line-of-credit maturity date for six months to November 30, 2007. All other provisions of the initial Loan and Security Agreement, dated November 13, 2002, as previously amended, remain the same.

The foregoing description of the Sixth Amendment is qualified in its entirety by reference to the complete terms of the document, a copy of which is attached as Exhibit 10.1 to this Current Report on Form 8-K, and incorporated herein by reference.
