Item 8.01. Other Events.

On July 2, 2007, Option Care, Inc. (the “Company”) issued a press release announcing that its 2.25% Convertible Senior Notes due 2024 (the “Convertible Notes”) will be convertible during the fiscal quarter ending September 30, 2007 due to satisfaction of a conversion condition having been met under the indenture for the Convertible Notes.
