- [F1]Activity reflects the transfer of shares of Class A Common Stock of Hirsch International Corp. (the "Issuer") in exchange for common stock of Hirsch Holdings, Inc. ("Parent") immediately prior to the completion of the merger of HIC Acquisition Company ("Merger Sub") with and into the Issuer (the "Merger"), pursuant to an Agreement and Plan of Merger, dated as of July 2, 2009 (the "Merger Agreement"), among the Issuer, Parent and Merger Sub. Parent is controlled by the reporting person. This transaction qualifies as a change in form of the reporting person's beneficial ownership which did not change the number of shares of Class A Common Stock beneficially owned by the reporting person.
- [F2]Pursuant to the Merger Agreement, shares of Class A Common Stock held by Parent were cancelled and ceased to exist at the effective time of the Merger, and no consideration is payable in exchange for such shares of stock.
