Schiller serves as a director of the Issuer pursuant to the Reporting Person's right under the Securities Purchase Agreement, dated as of May 24, 2018, by and between the Issuer and the Reporting Person, to nominate one individual to serve on the Board of Directors of the Issuer (the "Nomination Right").
