DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On March 4, 2010, Duane Reade Holdings, Inc. (the “Company”) received a letter from Denis J. Nayden informing the Company of his resignation from the Company’s Board of Directors, effective February 24, 2010. Mr. Nayden had served as a Director on the Board and was Acting Chairman of the Compensation Committee of the Board of Directors. In tendering his resignation, Mr. Nayden did not express any disagreement with the Company on any matter relating to its operations, policies or practices.

On March 4, 2010, the Board of Directors designated Tyler J. Wolfram to be the Chairman of the Compensation Committee and appointed Michael S. Green to serve as a member of the Compensation Committee.
