The original Form 4 reflected an incorrect number of restricted stock units.
- [F3]The Board of Directors adopted a director compensation policy (the "Policy") on November 12, 2010. Pursuant to the Policy, the Issuer automatically, without further action by the Board of Directors, grants directors, at the beginning of the calendar year, a number of restricted stock units based on the stock price on the date of the grant. Any grants pursuant to the Policy are limited to availability of shares under the 2007 Equity Incentive Plan (the "2007 Plan"). The first automatic grant made pursuant to the Policy occurred on January 3, 2011. This grant was for 536 restricted stock units as only that number of shares was available under the 2007 Plan to satisfy such awards; however, a grant of 2,049 restricted stock units was incorrectly reported in the original Form 4. This Form 4 amends that error.
