Mr. Huber is a managing principal of QCP GP Investors II LLC. The Reporting Persons are a member of a "group" for purposes of the Securities Exchange Act of 1934, as amended, with other shareholders. Each of the Reporting Persons disclaims beneficial ownership of the shares of Common Stock, par value $0.001 ("Common Stock"), of the issuer reported herein that are beneficially owned by other shareholders and each of Quadrangle Capital Partners II LP, Quadrangle Select Partners II LP, Quadrangle Capital Partners II-A LP and Mr. Huber, except to the extent of each of their pecuniary interest therein.
