(the "Issuer"), including 431,250 Class B Shares that are subject to forfeiture if the underwriters of the Issuer's initial public offering do not exercise in full an option granted to it to cover over-allotments. Pursuant to the Issuer's Amended and Restated Certificate of Incorporation, the Class B Shares will automatically convert into shares of Class A common stock of the Issuer at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment as described under the heading of "Description of Securities - Founder Shares" in the Issuer's registration statement on Form S-1 (File No. 333-246328). The Class B Shares have no expiration date.

The managing member of the Sponsor is Harbour Reach Holdings LLC ("Harbour Reach"), whose managing member is Netherton Investments Limited ("NIL"), whose sole shareholder is Netherton Holdings Limited ("NHL"), whose sole shareholder is Mr. Michael Platt ("Platt" and, together with Sponsor, Harbour Reach, NIL and and NHL, the "Reporting Persons").
