On October 13, 2006, Intergraph Corporation (“Intergraph”) issued a press release announcing the date of a special meeting of Intergraph’s stockholders, at which stockholders will vote on the adoption of the merger agreement, dated August 31, 2006, providing for the acquisition of Intergraph by an investor group led by Hellman & Friedman LLC and Texas Pacific Group.
