Item 8.01 Other Events

On November 14, 2006, Embrex, Inc., a North Carolina corporation (the “Company”), Pfizer Inc., a Delaware corporation (“Pfizer”), and Eagle Merger Sub Inc., a North Carolina corporation and wholly owned subsidiary of Pfizer (“Merger Sub”), entered into an Agreement and Plan of Merger (the “Merger Agreement”), pursuant to which Merger Sub will merge with and into the Company and the Company will become a wholly owned subsidiary of Pfizer.

On December 11, 2006, the Board of Directors of the Company established a record date of December 12, 2006 and a meeting date of January 19, 2007 for a special meeting of its shareholders to consider and vote on a proposal to approve and adopt the Merger Agreement and the transactions contemplated by the Merger Agreement. A copy of the press release announcing the record date and shareholder meeting date is attached as Exhibit 99.1 and incorporated herein by reference.
