Item 2.02 Results of Operations and Financial Condition.

On June 18, 2008, Max & Erma’s Restaurants, Inc. (the “Company”) issued a press release entitled, “Max & Erma’s Restaurants, Inc. Reports Second Quarter Results,” regarding its financial results for the second quarter ended May 11, 2008. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated into this Item 2.02 by reference.
