Item 1.03		Bankruptcy or Receivership.

On February 3, 2009, BPI Energy Holdings, Inc. (“BPI Holdings”) and its wholly owned subsidiary, BPI Energy, Inc. (“BPI Energy”), filed a voluntary petition for relief under Chapter 11 of the U.S. Bankruptcy Code with the U.S. Bankruptcy Court for the Northern District of Ohio, Eastern Division. BPI Holdings and BPI Energy are continuing to operate their businesses and manage their affairs as debtors in possession under the Bankruptcy Code.
