- [F1]On August 22, 2003, the Reporting Person partially exercised an option. The Reporting Person delivered already-owned stock in payment of the exercise price of such option. The option exercise price due was $26,134.03. On the date of the transaction, the market value per share of First Colonial common stock was $52.45, and the market value of the shares tendered in payment of the option exercise price was $26,120.10. The Reporting Person paid in cash to First Colonial the difference of $13.93.
- [F2]The option was to vest in four equal annual installments beginning January 19, 2002. However, as a result of First Colonial entering into an Agreemnt and Plan of Merger dated March 5, 2003 with Keystone Savings Bank, such option became immediately exercisable.
