(the "Company"), Amphenol Corporation, a Delaware corporation ("Parent") and Hilltop Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Parent ("Merger Sub"), 141,755 shares of common stock of the Company ('Common Stock") were converted into the right to receive a cash payment of $7.00 (the "Merger Consideration") per share of Common Stock, for an aggregate of $992,285, representing the product obtained by multiplying (x) the number of shares of Common Stock owned by the reporting person, by (y) the Merger Consideration.
