(the "Issuer") issued by the Issuer to Golden Post Rail, LLC ("Golden Post") pursuant to the Stock Purchase Agreement, dated as of June 26, 2024, by and between Golden Post and the Issuer. The Shares of Series E Convertible Preferred Stock are convertible on a one-to-one basis into shares of common stock of the Issuer at any time, at the holder's election, and have no expiration date. The conversion price and the number of shares of common stock into which the shares of Series E Convertible Preferred Stock are convertible are subject to adjustments for stock splits, combinations, dividends and distributions.
