- [F1]These securities are restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Telesis Bio Inc.'s (the "Issuer") Common Stock. Subject to the Reporting Person's continuing as a Service Provider (as defined in the Issuer's 2021 Stock Incentive Plan (the "Plan")) through each applicable vesting date, (i) with respect to 3,512 RSUs, one-third (1/3rd) of such RSUs shall vest on each annual anniversary of the Grant Date and (ii) 4,878 RSUs shall vest in full on January 1, 2025. "Grant Date" shall mean July 24, 2024.
