Subject to the achievement of specified late-stage clinical and regulatory milestones of the issuer on or before July 29, 2028, half of the performance-based units will vest one year after the achievement of two of three of the milestones, and the remaining 50,000 of the performance-based units will vest on the date one year after the achievement of all three of the milestones, in each case subject to the grantee's continued employment with the issuer through each such vesting date.
