- [F1]Pursuant to the Issuer's previously announced stock buyback program, the Issuer entered into a Share Repurchase Agreement with PJAM IBP Holdings, Inc. ("PJAM") for the purchase of 100,000 shares of its common stock in a privately-negotiated transaction for an aggregate purchase price of $20,690,000. The repurchase was approved by the company's board of directors and is exempt from Section 16(b) by virtue of Rule 16b-3(e). IBP Holding Company is the sole shareholder of PJAM.
