- [F1]In November 2021, the Issuer implemented a one-time discretionary equity award program for non-management employees. Rook Holdings Inc. ("Rook") and the Reporting Person, Jared Isaacman, Rook's sole shareholder, agreed to fund 50% of this program through a contribution of his shares of common stock, which are held of record by Rook. The one-time discretionary equity award program vests in three equal installments. The transaction reported shows Mr. Isaacman's contribution of 99,269 shares of the Class A common stock to the Issuer (and the simultaneous cancellation of the same number of shares of the Issuer's Class C common stock) in connection with the first vesting event, pursuant to a contribution agreement entered into on December 31, 2024.
