("Globus") and Palmer Merger Sub, Inc., a direct, wholly owned subsidiary of Globus ("Merger Sub"), Merger Sub merged with and into the Issuer, and the Issuer became a wholly owned subsidiary of Globus upon consummation of the merger (the "Effective Time").
