Item 2.02 Results of Operations and Financial Condition.

On August 5, 2025, Champion Homes, Inc. (the "Company") issued a press release relating to its results of operations and financial condition for the quarter ended June 28, 2025. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

The attached press release contains both U.S. Generally Accepted Accounting Principles (“GAAP”) and non-GAAP financial measures. Reconciliations between non-GAAP and GAAP financial measures are included in the attached press release. The Company's management utilizes non-GAAP financial information to provide a useful measure of comparative operating performance of the Company. The non-GAAP financial measures are supplemental to, and not a substitute for, measures of financial performance prepared in accordance with GAAP.

The press release, and the information set forth therein, is being furnished pursuant to Item 2.02 of this Current Report and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that Section. Item 8.01 Other Events.

On July 24, 2025, the Company's Board of Directors approved an increase to the Company's existing share repurchase program up to an additional $50.0 million, which was also announced in the press release attached as Exhibit 99.1 to this Current Report on Form 8-K. Portions of such press release with respect to the share repurchase program are incorporated in this Item 8.01 by reference.
