As reported in the Form 4 filing on February 15, 2013 at the time the award was made, "The restricted performance shares will vest only upon the Company's return on invested capital being in the top decile of the Company's peers as published by Bloomberg upon the close of the NYSE market on the last day of the Performance Period and the shares shall fully vest if that criterion is met. If it is not met, then no shares shall vest and the award shall be forfeited." The performance criteria and all requirements for vesting have been met and thus the shares fully vested on December 31, 2015, at the conclusion of the performance period.
