Explanation of Responses: (1) As disclosed in the Issuer's proxy statement for its annual meeting of shareholders on December 11, 2001, the Issuer's Board of Directors approved these stock options on July 25, 2001 in connection with the approval of the reporting person's employment agreement with the Issuer. The Issuer's Board of Directors authorized the specific grant of these stock options on January 9, 2002.
