- [F1]Immediately prior to the closing of the initial public offering (the "Offering") of the common stock, par value $.01 per share ("Common Stock"), of Citadel Broadcasting Corporation (the "Issuer"), which is expected to occur on August 6, 2003, the number and designation of shares of common stock will be adjusted to reflect a recapitalization of the Issuer in which (i) each outstanding share of Class B common stock will be exchanged for shares of Class A common stock based on an exchange ratio to be determined using the actual initial public offering price in the Offering and (ii) the Class A common stock will be redesignated as Common Stock. This number reflects the conversion of 94,400 shares of Class B common stock into 48,899 shares of Class A common stock and the redesignation of the Class A common stock as Common Stock.
