- [F1]Daniel Frank, the reporting person, individually held 96,200 shares of Common Stock prior to tendering his shares at a price of $15.35 per share pursuant to the cash tender offer described below. Mr. Frank is a former director of i-STAT Corporation (the "Company"). On January 28, 2004, Mr. Frank resigned his position as a director of the Company.
- [F2]Mr. Frank tendered all of the shares of Company's common stock, par value $0.15 per share (the "Common Stock") he owned pursuant to a cash tender offer by Abbott Laboratories for, among other securities, all of the Company's Common Stock. As a result, Mr. Frank ceased to own any of the Company's Common Stock on January 28, 2004.
- [F3]Mr. Frank is an employee of Cerberus Capital Management, L.P., which, along with certain of its affiliates, owned certain securities of the Company, all of which were subject to the sole voting and investment authority of Stephen Feinberg. Mr. Feinberg separately filed statements pursuant to Sections 13 and 16 of the Securities Exchange Act of 1934 in his capacity as the holder of sole voting and investment authority of more than 10% of the Company's Common Stock pursuant to Reg. 13d-3.
- [F4]Mr. Frank does not, and prior to the tender offer did not, exercise any voting, investment or other authority with respect to the securities of the Company separately reported by Mr. Feinberg. Mr. Feinberg does not, and prior to the tender offer did not, exercise any voting, investment or other authority with respect to the shares of Common Stock held by Mr. Frank.
