- [F1]Mr. Ip is the 100% beneficial owner of each of Outer Space Investment Limited, a British Virgin Islands company, ("Outer Space"), Dorfield Investment Limited, a BVI company ("Dorfield") and Danroad Technology Ventures Inc., a BVI company ("Danroad"). Outer Space and Dorfield owned approximately 19.73% and 18.44% of BBMF Inc., respectively, at the end of Issuer's fiscal year and BBMF Inc. owned approximately 87.20% of Issuer's common stock at the end of Issuer's fiscal year, and therefore may be deemed to be the indirect beneficial owner of approximately 3,964,894 shares of Issuer's common stock and 3,704,762 shares of Issuer's common stock, respectively, at the end of Issuer's fiscal year. Each of the reporting persons disclaim beneficial ownership, except to the extent of their respective pecuniary interests therein.
- [F2]On March 15, 2005. Mr. Ip caused Dorfield to sell approximatley 4.42% of BBMF Inc. to Danroad for an aggregate purchase price of US $ 453.38. Therefore, as of the date of this filing, Dorfield indirectly holds approximately 888,895 of Issuer's common shares. Danroad indirectly holds less than 10% of Issuer's common shares but is voluntarily reporting its initial beneficial ownership in this filing. Each of the reporting persons disclaim beneficial ownership, except to the extent of their respective pecuniary interests therein.
