("International") collectively own 2,000,000 shares of the common stock, par value $0.10 per share, of the Company (the "Shares"). Jonathan Gallen possesses sole power to vote and direct the disposition of all securities of the Company owned by Ahab and International. In addition, Mr. Gallen possesses sole power to direct the disposition of 412,000 Shares held by various private investment accounts (the "Accounts"). Thus, for the purposes of Reg. Section 240.13d-3, Mr. Gallen is deemed to beneficially own 2,412,000 Shares. Mr. Gallen's interest in the securities reported herein is limited to the extent of his pecuniary interest in Ahab, International and the Accounts, if any. The reporting person does not individually own any securities of the Company.
