Mr. Johnson holds (i) 30,000 Shares of restricted stock, which vest on September 26, 2010; (ii) 80,346 Shares held in trust; (iii) 365,973 Shares that were distributed to him in connection with MVPS, LLC's distribution of Shares of the Company to its members and (iv) 79,410 Shares that were distributed to him by Aspen Advisors, LP following the transfer of Shares of the Company from Aspen Equity Partners, LLC to Aspen Advisors, LP.
- [F2]As of September 26, 2007, MVPS, LLC held 213,088 warrants to purchase Shares of the Company (the "Warrants"). Mr. Johnson is a member of MVPS, LLC. Accordingly, for the purposes of Rule 13d-3 under the Securities Exchange Act of 1934, as amended, Mr. Johnson may be deemed to beneficially own the Warrants held by MVPS, LLC.
