- [F1]On March 22, 2012, the issuer acquired Dakota Plains, Inc., a Minnesota corporation, pursuant to an Agreement and Plan of Merger (the "Merger Agreement"). Under the Merger Agreement, a copy of which was filed as Exhibit 2.1 to its 8-K Current Report dated March 22, 2012, and filed with the SEC on March 23, 2012, shares of its common stock were resolved by its Board of Directors prior to the closing of the Merger to be exempt from the provisions of Section 16(b) of the Exchange Act under SEC Rule 16b-3(d)(1) promulgated thereunder. Mr. Jenson acquired 304,500 shares by virtue of owning the same number of shares of Dakota Plains prior to the Merger.
