- [F1]On February, 13, 2009, the Issuer entered into an exchange agreement with Changda International Ltd., a company organized under the laws of Marshall Islands ("Changda") pursuant to which the Issuer issued 47,729,964 shares of its common stock, par value $0.001 per share to the shareholders of Changda in exchange for all of the issued and outstanding capital stock of Changda. Pursuant to the exchange agreement, AllHomely International Limited, a company organized under the laws of Marshall Islands ("AllHomely") received 22,135,973 shares of the Issuer's common stock. By virtue of the Reporting Person's ownership interest in AllHomely, the Reporting Person has sole control over the voting and disposition of all the shares owned by AllHomely. The Reporting Person specifically disclaims beneficial ownership of these shares except to the extent of his pecuniary interests therein.
