ITEM 4.01. CHANGES IN REGISTRANT’S CERTIFYING ACCOUNTANT.

On ~~August~~October 223, 2023, the Board of Directors of China Health Industries Holdings, Inc., a corporation incorporated under the laws of the State of Delaware (the “Company”) approved the dismissal of ~~Centurion~~ARK ZDPro CPA & Co. (“~~Centurion~~ARK”) as the Company’s independent registered public accounting firm, effective immediately.

~~The~~ARK ~~reports~~was ofengaged ~~Centurion~~ on ~~the~~ ~~financial~~August ~~statements~~2, of2023, after the ~~Company~~most asrecent offiscal ~~and~~year ~~for~~of the ~~fiscal~~Company. ~~years~~As ~~ended~~a ~~June 30~~result, ~~2022~~there ~~and~~has ~~2021~~been ~~did~~no ~~not~~report ~~contain~~issued ~~any~~by ~~adverse~~ARK ~~opinion or~~on ~~disclaimer~~any offinancial ~~opinion~~statements ~~and~~of ~~was~~the Company ~~not qualified or modified~~ as toof ~~uncertainty~~October 23, ~~audit scope or accounting principles~~2023.

During the ~~Company’s two~~period ~~most~~from ~~recent~~August ~~fiscal~~2, 2023, ~~years~~the ~~and~~date ~~the~~on ~~subsequent~~which ~~interim~~ARK ~~period~~was engaged through ~~August~~October 223, 2023 (the “ARK Engagement Period”), there were no disagreements with ~~Centurion~~ARK on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreement(s), if not resolved to the satisfaction of ~~Centurion~~ARK, would have caused it to make reference to the subject matter of the disagreement(s) in connection with its report. During the ~~Company’s~~ARK ~~two~~Engagement ~~most recent fiscal years and the subsequent interim period through August 2~~Period, ~~2023,~~ there were no reportable events of the type described in Item 304(a)(1)(v) of Regulation S-K.

The Company provided ~~Centurion~~ ARK with a copy of the foregoing disclosure and requested ~~Centurion~~ARK to furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the statements made therein. A copy of such letter furnished by ~~Centurion~~ARK is filed as Exhibit 16.1 to this Form 8-K.

On ~~August~~October 223, 2023, the Board of Directors of the Company approved the engagement of ~~ARK~~Assentsure ~~Pro CPA & Co~~ PAC (“~~ARK~~Assentsure”) as its new independent registered public ~~accounting~~ accounting firm.

During the Company’s ~~two~~ two most recent fiscal years and the subsequent interim period through ~~August~~October 223, 2023, neither the Company nor anyone on its behalf consulted with ~~ARK~~Assentsure regarding (i) the application of accounting principles to a specified transaction, either completed or proposed; the type of audit opinion that might be rendered on the Company's financial statements, and neither a written report nor oral advice was provided that ~~ARK~~ Assentsure concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial ~~reporting~~ reporting issue; or (ii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and its related instructions) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
