Kite, Jr. Following the transfer of the shares of common stock described above, Boothbay Royalty Company will not own any shares of Quest Resource Corporation common stock for the purposes of Section 16 of the Securities Exchange Act of 1934. Mr. James B. Kite, Jr. will continue to be a reporting person for the purposes of Section 16, as both a 10% beneficial owner of Quest Resource Corporation common stock (due to his control of the general partner of McKown Point, LP), and as a director of Quest Resource Corporation. Mr. Kite disclaims beneficial ownership of the reported shares except to the extent of his pecuniary interest therein.
