- [F1]Ms. Hudson is a manager and member of JRB Interests, LLC, a Missouri limited liability company ("JRB"), which holds 2,966,312 shares of the Issuer's common stock, $1.25 par value ("Common Stock"). Effective on December 18, 2013, JRB redeemed the membership interest of one of its members other than Ms. Hudson, which increased the number of shares of Common Stock attributable to Ms. Hudson's membership interest by 1,406 shares. Ms. Hudson disclaims beneficial ownership of the shares of Common Stock owned by JRB except to the extent of her pecuniary interest therein.
- [F2]Ms. Hudson is a member of JRB and, in that capacity, shares with the other members of JRB the power to dispose of all of the 2,966,312 shares of Common Stock owned by JRB. The shares reported include 1,936,910 shares of Common Stock owned by JRB, which consist of (a) 1,936,741 shares attributable to membership interests of JRB held by the trusts for which Ms. Hudson serves as a co-trustee, and (b) 169 shares attributable to membership interest of JRB held by Ms. Hudson individually. Ms. Hudson disclaims beneficial ownership of the shares of Common Stock owned by JRB except to the extent of her pecuniary interest therein. The shares reported also include 223,696 shares of Common Stock owned by the Nancy Bixby Hudson Trust dated December 11, 1997, for which Ms. Hudson is a beneficiary and serves as trustee.
