- [F1]On February 11, 2019, these shares were granted by the Board of the Company subject to stockholder approval of the 2019 Incentive and Equity Award Plan (the "2019 Plan") by the Company stockholders. On June 5, 2019, the 2019 Plan was approved by the stockholders. One-third of the restricted stock will vest upon the Company's common stock achieving a 30-calendar day weighted-volume average stock price of $11.75 per share on or before December 31, 2020 (the "Initial Vesting"). The remaining two-thirds of the restricted stock will vest 12 months after the Initial Vesting. The reporting person must be employed by the Company, or one of its affiliates, to be entitled to the shares at each vesting.
