Under the terms of the Agreement, the Reporting Person sold a total of 650,000 shares of the Registrant's common stock, but is only obligated to transfer 67,000 shares as of the filing date of this Form 4. The Reporting Person is obligated to transfer the remaining balance of 583,000 shares of the Registrant's common stock on February 1, 2017. The Reporting Person will file a subsequent Form 4 to disclose the transfer of the remaining balance of shares when due.
