On August 9, 2022, ASOF acquired an additional 305,425 Founder Shares. On August 15, 2022, the Issuer and Founder SPAC consummated a business combination whereby Founder SPAC was renamed Rubicon Technologies, Inc. and the Founder Shares were converted on a one-to-one basis into shares of Class A common stock, par value $0.0001 per share, of the Issuer.
