The Issuer and the Reporting Person agreed to this surrender and issuance because the authorized capital stock of the Issuer set forth in the Issuer's Articles of Incorporation is 30,000,000 shares of Common Stock. The reduction in the number of shares of Common Stock reserved for issuance on the exercise of stock options resulting from the surrender of stock options by the Reporting Person will permit the Issuer to issue additional shares of Common Stock to third parties without amending its Articles of Incorporation.
