On the closing date of the issuance of the Certificates, the Class B-4, Class B-5, Class B-6, Class RC and Class R Certificates were sold to Goldman, Sachs & Co. in a transaction exempt from registration under the Securities Act of 1933 (the "Act") pursuant to Section 4(2) under the Act.
